Your continued use of the Website following the posting of revised Terms of Use means that you accept and agree to the changes. You are expected to check this page from time to time/frequently/each time you access this Website, so you are aware of any changes, as they are binding on you.

The Website includes construction bidding software that allows general contractors who subscribe to place bids on construction and maintenance jobs posted by Company clients (each a “Client”). The Client will set additional terms specific to a job, including location, specifications, requirements, and rates and a success fee. Any contracts that you may form with a Client will be subject to their own terms and Company will have no liability for any breach of a contract between you and any Client.
Use of many of the services on the Website requires an annual subscription fee to be paid once every 12 months. Your subscription will not automatically renew. The price for a 12 month subscription will be set at the time you first subscribe and each time you renew. You will not be able to submit a bid to a Client without an active and fully paid subscription. Subscription fees for the Website are not refundable. Payment of subscription fees will not guarantee that your bids will be selected by a Client.
Each bid request posted by a Client will have a fee to be paid for the winning bid (a “Success Fee”). The exact amount of the Success Fee for a particular job will be posted on the bid submittal page By submitting a bid for a Client project, you are agreeing to pay the Success Fee as posted, if your bid is selected by the Client. The Success Fee must be paid to Company and is due immediately upon the Client selecting your bid. Failure to pay a Success Fee when due may result in immediate suspension or termination of your account and Company may restrict further use of the Website.
By placing a bid for a Client, you are representing the following:
The Website and its entire contents, features and functionality (including but not limited to all information, software, text, displays, images, video and audio, and the design, selection and arrangement thereof), are owned by the Company, its licensors or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws.
These Terms of Use permit you to use the Website for commercial use only in association with your employment with your company that is a customer of MySites Global LLC. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store or transmit any of the material on our Website, except as follows: Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials; You may store files that are automatically cached by your Web browser for display enhancement purposes; You may print or download only those portions of the Website necessary for you to perform your job and not for further reproduction, publication, or distribution; and if we provide desktop, mobile or other applications for download, you may download a single copy to your computer or mobile device solely for your own personal, non-commercial use, provided you agree to be bound by our end user license agreement for such applications.
If you print, copy, modify, download or otherwise use or provide any other person with access to any part of the Website in breach of the Terms of Use, your right to use the Website will cease immediately and you must, at our option, return or destroy any copies of the materials you have made. You are an independent third party to Company and nothing in these Terms will create or represent that there is any partnership, joint venture, agency, franchise, sales relationship, or employment relationship between you and MySites Global LLC.
All matters relating to the Website and these Terms of Use, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), will be governed by and construed in accordance with the internal laws of the State of Minnesota without giving effect to any choice or conflict of law provision or rule (whether of the State of Minnesota or any other jurisdiction).
Any legal suit, action or proceeding arising out of, or related to, these Terms of Use or the Website must be instituted exclusively in the federal courts of the United States or the courts of the State of Minnesota in the counties of Hennepin, although we retain the right to bring any suit, action or proceeding against you for breach of these Terms of Use in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR THE WEBSITE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES, OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.
No waiver by MySites Global LLC of any term or condition set forth in these Terms of Use will be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of MySites Global LLC to assert a right or provision under these Terms of Use will not constitute a waiver of such right or provision.
If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision will be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.
